FACTS. - Ringwood, Francis, and Poggio were the only shareholders in FAW. Poggio and Francis agreed to buy out Ringwood, giving him a note for the price. The note became delinquent. Poggio then bought out Francis and agreed to sell all stock to Hernandez and Gardner. Later, the sale to Hernandez and Gardner was restructured as an asset sale to their corporation, Dinero.
